Terms of Service

By accessing, browsing, or using Project Ascend services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

Your acceptance of these Terms creates a legally binding agreement between you and Swiftascale Technologies Limited. This agreement governs your access to and use of all Project Ascend services, deliverables, and related communications.

Project Ascend is a comprehensive business branding and digital visibility program designed to help businesses establish professional brand identities. Our services include, but are not limited to:

• Logo design and brand identity development
• Brand strategy and positioning consultation
• Visual identity systems and brand guidelines
• Digital presence setup and optimization
• Marketing collateral design
• Social media branding and templates
• Website design and development
• Business stationery and print materials

The specific deliverables included in your package will be detailed in your service agreement and may vary based on the package tier selected (Basic, Standard, or Premium).

To use Project Ascend services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal authority to enter into binding contracts
• Represent a legitimate business entity or be an individual entrepreneur
• Provide accurate and complete information during registration
• Not be prohibited from receiving services under applicable laws

We reserve the right to refuse service to anyone for any reason at our sole discretion, particularly if we believe the intended use of our services may be unlawful, fraudulent, or harmful to our reputation.

When you register for Project Ascend services, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information as necessary
• Keep your account credentials confidential and secure
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You are solely responsible for maintaining the confidentiality of your account information and for restricting access to your account. Swiftascale will not be liable for any loss or damage arising from your failure to protect your account credentials.

5.1 Pricing

All prices for Project Ascend packages are displayed in Nigerian Naira (NGN) unless otherwise specified. Prices are subject to change, but any changes will not affect orders already confirmed and paid for.

5.2 Payment Schedule

Unless otherwise agreed in writing, payment is required as follows:

• 50% deposit upon project confirmation to commence work
• 50% balance due before final deliverables are released

5.3 Payment Methods

We accept payment via bank transfer, card payments, and other approved payment methods as communicated during the engagement process.

5.4 Refund Policy

Due to the custom nature of our services, refunds are handled on a case-by-case basis. Once work has commenced, the initial deposit is generally non-refundable. If you wish to cancel a project after commencement, you may be entitled to a partial refund of the balance based on the percentage of work completed.

6.1 Delivery Timeline

Estimated delivery timelines will be provided at the start of your project. While we strive to meet all deadlines, timelines may be affected by factors including client feedback delays, scope changes, or unforeseen circumstances.

6.2 Revisions

Each package includes a specified number of revision rounds. Additional revisions beyond the included amount may incur extra charges. Major changes to the project scope after approval may require a new quote.

6.3 Ownership Transfer

Upon full payment, you will receive full ownership rights to all final approved deliverables. This includes the right to use, modify, and reproduce the materials for your business purposes. Swiftascale retains the right to display completed work in our portfolio unless you request otherwise in writing.

When using Project Ascend services, you agree not to:

• Provide false, misleading, or inaccurate information
• Use our services for any illegal or unauthorized purpose
• Infringe upon the intellectual property rights of others
• Engage in any activity that could damage, disable, or impair our services
• Use our deliverables to create misleading or fraudulent representations
• Harass, abuse, or threaten our team members or other clients
• Attempt to gain unauthorized access to our systems or data

8.1 Our Intellectual Property

All content on the Project Ascend website, including but not limited to text, graphics, logos, images, and software, is the property of Swiftascale Technologies Limited and is protected by applicable intellectual property laws.

8.2 Client Materials

You represent and warrant that any materials you provide to us (logos, images, text, etc.) are either owned by you or you have the necessary rights to use them. You agree to indemnify us against any claims arising from the use of materials you provide.

8.3 Third-Party Assets

Our deliverables may include licensed third-party assets (fonts, stock images, etc.). These assets are subject to their respective license terms, which we will communicate to you as part of the handover process.

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes:

• Business strategies and plans
• Financial information
• Unpublished products or services
• Technical specifications
• Customer and client lists

This confidentiality obligation survives the termination of our agreement and continues for a period of two (2) years thereafter.

To the maximum extent permitted by applicable law:

• Swiftascale shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
• We do not guarantee specific business outcomes or results from using our services
• We are not responsible for any third-party services or platforms recommended as part of our deliverables

These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise.

11.1 Termination by Client

You may terminate the engagement at any time by providing written notice. Upon termination, you will be responsible for payment for all work completed up to the termination date.

11.2 Termination by Swiftascale

We reserve the right to terminate or suspend your engagement immediately if you:

• Breach any provision of these Terms
• Fail to make required payments
• Provide false or misleading information
• Engage in conduct that we deem harmful to our business or reputation

11.3 Effect of Termination

Upon termination, all licenses granted to you under these Terms for unpaid work will terminate. Sections relating to intellectual property, confidentiality, limitation of liability, and dispute resolution will survive termination.

12.1 Negotiation

In the event of any dispute arising from these Terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation.

12.2 Mediation

If negotiation fails, the parties agree to attempt mediation before pursuing other legal remedies. The costs of mediation shall be shared equally.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal proceedings shall be brought exclusively in the courts of Lagos State, Nigeria.

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify active clients of material changes via email
• Post the updated Terms on our website

Your continued use of our services after any changes indicates your acceptance of the modified Terms. We encourage you to review these Terms periodically.
